Company Director Amendments (Add/Remove)

Director changes involve the addition or removal of directors from a registered company. This is a formal process that must be submitted to CIPC to update the company’s official records.

To carry out director changes, the following documents and information are required:

  • Official Company Registration Documents

  • List of all current directors

  • Details of directors to be added or removed

  • Certified ID copies of all directors (current, incoming, and/or outgoing)

  • A Notice of Meeting (drafted by us and sent to you for signature)

  • Minutes of the Meeting (also drafted and sent to you for signature)

  • A Power of Attorney, authorizing us to act on your behalf (prepared and sent for signature)

The full process generally takes 4–7 business days, though it may take longer if CIPC is experiencing delays due to high volumes.

Once the director change is approved, you will receive the following updated company documents:

  • Certificate of Director Amendments (COR 39)

  • Notice of Incorporation (COR 14.1)

  • Confirmation of Initial Directors (COR 14.1A)

  • Memorandum of Incorporation (MOI – COR 15.1A)

  • Updated Share Certificates (if required)
