Close Corporation/Company Restoration is the process of re-registering a Close Corporation or Company that has been de-registered, typically due to the non-submission of annual returns. This procedure allows the business to regain its legal status and continue operating.
To restore a Close Corporation or Company, the following information and documents are required:
Certified ID copy of a member or director
Name of the Close Corporation or Company
Original registration documents
Income Tax Number (if applicable)
If the entity owns immovable property: full property description, the Deeds Office where it was registered, and the Title Deed
A municipal account in the name of the entity (if applicable)
A Power of Attorney authorizing us to handle the restoration (provided after order placement)
Bank statements showing financial activity during the deregistration period
A signed lease agreement active during the deregistration period
The quoted fee includes all of the following: drafting of the affidavit, obtaining letters from the Department of National Treasury and Department of Public Works, drafting and placing a legal advertisement in a local newspaper, and conducting a Deeds Office search via Windeed.
The advertisement period must run for 21 business days. Only after this period has lapsed can we proceed with the actual restoration application.
After advertising, the restoration process generally takes 3–5 business days, unless delayed by CIPC due to a backlog or workload.
If the entity owns immovable property, obtaining the required letters from the Departments of National Treasury and Public Works can take 1–3 months, in addition to the standard processing time.
Once restored, you will receive official documentation indicating that the entity is in a ‘Re-Instatement Process’. You will then have 30 days to submit outstanding annual returns, after which the company’s status will automatically update to ‘In Business’.
The quoted price includes submission of the annual returns once the company enters the Re-Instatement Process. However, CIPC annual return filing fees are not included and will be billed separately.
