A Personal Liability Company, also known as an “INC”, is a company type that functions similarly to a (Pty) Ltd but is specifically suited to professionals such as auditors, attorneys, and other practitioners. The key difference is that directors are jointly and severally liable for the company’s debts and obligations incurred during their term of office.

A Personal Liability Company must end its name with “Inc.” or “Incorporated.”

To register a Personal Liability Company (INC), the following documents and information are required:

  • The number of directors and their certified ID copies

  • Four preferred name choices, listed in order of preference

  • The company’s postal and physical address

  • Company contact details (emails and phone numbers)

  • Full details of all directors (addresses, emails, and phone numbers)

  • A Limited Power of Attorney, signed by all directors, authorizing us to register the company on your behalf (this will be emailed to you after your order is placed)

The registration process for an INC is completed in two phases:

Step 1 – Name Reservation: This takes approximately 1–2 business days. Delays may occur due to CIPC processing volumes.
Step 2 – Company Registration: After name approval, the registration process takes 30–40 working days, depending on processing times at CIPC and SARS.

Once your INC is registered, you will receive the following official documents via email:

  • Company Registration Certificate (COR 14.3)

  • Notice of Incorporation (COR 14.1)

  • Confirmation of Initial Directors (COR 14.1A)

  • Memorandum of Incorporation (MOI – COR 15.1B)

  • Share Certificate(s) (as required)
